The Nebelsick (iek, ieck) Family Association of the U.S.A.

ARTICLE I

Name and Jurisdiction

 

The name of this Organization is the Nebelsick (Nebelsiek, Nebelsieck) Family Association of the U.S.A. Its jurisdiction shall extend to all blood-line members of the Nebelsick (iek, ieck) “Family” as established from all existing and future records and documents related to this family.This Organization shall be deemed to have its principal office or place of business at the permanent residence address of the current Secretary/Financial Officer and of each succeeding Secretary/Financial Officer.For the purpose of the By-Laws, the following words shall deem to mean: Organization – Nebelsick (iek, ieck) Family Association of the U.S.A.Family – All blood-line descendants of the Nebelsick (iek, ieck) family, as documented by record.  

ARTICLE II

Objective and Aim of Organization 

The objective of the Nebelsick (iek, ieck) Family Association of the U.S.A. shall be to unite and promote good will and friendly relationship between members of the Nebelsick (iek, ieck) family, their spouses and adopted children.To perpetuate the Nebelsick (iek, ieck) name by recording past and present family lines and to enhance the continued efforts of future generations to continue this policy.To raise funds by annual dues and special assessments.  

ARTICLE III

Membership

Section I General

           There shall be Family and Associate memberships. The different classes and method of becoming members, the right and privileges of members, assessment of dues and termination of membership shall be set forth in the By-Laws. All members shall be subject to the authority of the Organization with respect to the goals outlined in Article II. Both Active and Associated members shall be voting members of the Organization. You must be 21 years of age or married to become a Family member.

Section II Membership Classifications

The following types of membership are established and recognized:

1.        Family member:              

Any blood-line member of the Nebelsick (iek, ieck) Family, age 21 or married.

2.        Associate member:           

The spouse of a Family members as well as their adopted children. Associate members may, if they so elect, remain in the organization after the demise of a Family member and shall be subject to all fees as outlined in Section V.  

Section III     Membership Benefits

 

The following rights and privileges are afforded the various classes of members:

1.        Family member:              

A Family member is entitled to all rights and privileges of the Organization, including the right to vote and hold office.

2.        Associate member:           

An Associate member is entitled to the same rights and privileges afforded a Family member, including the right to vote. However, an Associate member is not entitled to hold office.

Section IV     Dues

Any amendment to the dues structure as established in the By-Laws must be voted by voice vote at an annual general membership meeting and approved by a majority of members present.The payment of dues and special assessments, as established in the By-Laws shall be prerequisite for continued membership in the Organization.The Executive Committee, may, with cause, waive the payment of annual dues or special assessments for any Family or Associate member. These members shall retain all privileges as set forth in Section III of the Article. 

Section V       Individual Dues

Annual membership sues shall be as follows, payable during the month of January of each year:

Family member:
 $10.00 per year which includes all dues for Associate related to the Family member as set forth in Section II, except that married children including their spouses and children shall be subject to all dues. Children who are at least 21 years of age are also subject to all dues.

Associate member: 
$10.00 per year for spouse and adopted children of a deceased Family member. Natural children of a deceased Family member remain Family members by reason of blood line and are subject to all dues           unless waived by the Executive Committee as set forth in Section I.  

Dues shall be considered in arrears if not received by the annual membership meeting. Only dues paid members may vote.Special Assessments to cover necessary expenses of conducting the Annual Meetings or other Organization business can be called for at the discretion of the Executive Committee.        

Section V       Accounting

           All dues and assessments for the Organization shall be directed to the Secretary/Financial Officer who shall use the money for the business of the Organization.

ARTICLE IV

Officers’ Qualifications, Duties, Terms,

Election Procedures, Composition, Committees

Section I        Officers

The officers of the Organization shall be: President, Vice President, Secretary/Financial Officer, Archivist, Facilitating Officer, and Chaplain . Their authority shall run in that succession. The term of office for president, vice-president, and facilitating officer shall be one (1) year. Each year an election shall be held to fill the office of Vice-President and Facilitating Officer. The Facilitating Officer is elected one year in advance of taking office in order to begin arranging facilities two years in advance. All other terms shall be for two (2) years with elections held on odd numbered years.The elected President shall serve for one year. The elected Vice-President shall serve in that capacity for one year and move up to the office of President the following year. He/she shall serve as President for one year.All elected officers may serve more than one term, with the exception of the President and the Vice-president.Election of officers shall be held at the Annual Meeting. Yearly, with the mailing of the notice of the Annual Meeting, the Secretary shall also include a list of those offices to be vacated during that year. Members electing to seek an office shall indicate their preference, in writing, to the Secretary no less than two weeks prior to the Annual Meeting.At the General Meeting, the list of candidates shall be delivered to the presiding officer and posted for balloting. Nominations can also be received from the floor. Balloting shall be by a show of hand votes. Nominees receiving a majority of votes shall be certified as the elected official. In cases of a tie vote, the winner shall be determined by lot. 

Section II       Vacancies in Office

           In the event an office becomes vacant during any term, the next officer in succession shall assume the duties of the vacant position until the next general meeting when a successor shall be elected, except that in the event the Vice-president succeeds the President, he/she shall continue in office as President for one (1) additional year following the year of succession.

Section III     Duties of Officers

President shall be responsible for the operation of the Organization and act as Chairperson of the Executive Committee. He/she shall preside at all annual meetings, declare the results of elections, and appoint committees as required. He/she shall be responsible for coordinating the location of the Annual Meeting during his/her term and shall work with the facilitating officer to arrange for the meeting place, member accommodations, and suggested free-time activities for the annual meeting. He/she may assign these duties and responsibilities to another member if conditions so dictate. The President or his/her designee shall approve all final decisions regarding arrangements for the annual meeting held during his/her term. The President shall advise the Executive Committee of all actions taken on behalf of the Organization.­
Vice-president
shall be Co-chairperson of the Executive Committee and shall assist the President with the duties set forth in paragraph 1. In the event of the disability of the President, he/she shall assume that office until the next election. The vice-president will move up to the office of President at the next election.
Secretary/Financial Officer
shall retain all finances of the Organization and be responsible for the collection of all dues and special assessments and distribution of all funds. He/she shall keep an accurate accounting and present a financial report at the annual membership meeting. He/she shall determine the bank account system to be used. He/she shall also select a member to serve on a joint bank account to insure control of funds in the event the Secretary/Financial Officer is incapacitated. When possible, the person selected shall reside in the same general locality as the Secretary/Financial officer.

He/she shall also be responsible for keeping minutes of all meetings, corresponding with the membership, sending out all news letters and notices and advising of the date and location of the annual meeting. He/she shall keep an up-to-date roster of all members, by both an alphabetical record and by family ancestor. He/she shall be responsible for member registration and name tags at all meetings and shall send out copies of the minutes and the treasurer’s report to all dues paying members within thirty days of each meeting.

Archivist shall be responsible for coordinating the efforts of all members to ensure accuracy of material recorded and blood-line relationship of the Nebelsick (iek, ieck) family. The Archivist may request the service of all members in procuring documents, photos and other material or information for the archives. He/she shall also record any vital statistical information (births, deaths, marriages) that may occur.
Facilitating Officer
shall be charged with and be responsible for maintaining order at all Organization meetings and functions, work with the President to arrange for the meeting place, member accommodations, and suggested free-time activities for the annual meeting. He/she will also be responsible to see that the designated meeting places are in proper order prior to and after all meetings. He/she shall also perform such other duties as may be prescribed by the President or Executive Committee.
Chaplain
shall be responsible for coordinating and conducting the Sunday morning Worship Service. He/She shall also be responsible for leading opening and closing prayers for any other functions during the annual membership meeting.  

Section IV     Executive Committee

           The elected officials shall be the Executive Committee of the Organization and shall be the governing body. They shall manage the business of the Organization and vote on matters of concern. They may, in an emergency, suspend the By-Laws when acting in the best interest of the Organization.

Section V       Meetings 

           The Executive Committee shall meet annually, prior to the general membership meeting to arrange for the business to be presented to the general membership.

ARTICLE V

Meetings

Section I        Time and Place

           A general membership meeting shall be held annually on the third “full weekend” of July. (Saturday, July 1 represents a full weekend / Sunday, July 1 does not). Normally, the meeting will be held on a Saturday and Sunday with the preceding Friday night reserved for registration of guests and a social night. Friday night expenses are either part of registration or furnished by host families. The city in which the meeting is to be held in two years shall be determined by a voice vote at the membership meeting. (For example, the decision for meeting location in 2010 will be made at the 2008 annual meeting.) Accommodations and meeting place shall be arranged by the President and Facilitating Officer or the President’s designee. 

           Should it be deemed necessary to change the frequency of general membership meetings, the matter shall be presented to the membership for debate and voice vote by the presiding officer stating the reason for the requested change. A simple majority of “yes” votes is required for passage. 

Section II       Notices 

           The President and his/her designee shall advise the Secretary/Financial officer by February of each year as to the pertinent information pertaining to the dates and location of the meetings as well as accommodation arrangements. The Secretary/Financial officer shall relay this information to the members by March 1 st. (Please note that the notification date will be earlier when accommodating a specific resort or retreat center’s registration rules.)

Section III     Order of Business 

The following order of business shall be used to conduct the formal meeting, unless some portion is inapplicable:

Section IV     Quorum

           A quorum shall consist of a majority of members present at an annual meeting.

 

Section V       Social Meeting

           There shall be set aside at each annual meeting, a time designated by the presiding officer for identification of attending members and a report of personal histories.

ARTICLE VI

Amend By-Laws

           Any proposed changes to the By-Laws must be given to the Secretary/Financial Officer six (6) months prior to the annual membership meeting. The Secretary/Financial Officer shall notify the members of the proposed changes three (3) months prior to the meeting. The general membership shall have the power to amend these By-Laws at an annual membership meeting, with a majority “yes” vote necessary for passage.
